Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and SniperFlow.ai ("SniperFlow", "we", "us", or "our"). By downloading, installing, accessing, or using PTR-Tracker or any of our websites, portals, or services (collectively, the "Services"), you agree to these Terms and to our Privacy Policy and Risk Disclosures, which are incorporated by reference. If you do not agree, do not use the Services.

2. The Service

PTR-Tracker is a trading dashboard and analytics tool that connects to your own brokerage, prop-firm, and market-data accounts to display balances, positions, performance, journaling, and related information, and offers optional features such as risk tooling and copy-trading ("mirror").

SniperFlow.ai is a technology provider only. We are not a broker, introducing broker, futures commission merchant (FCM), commodity trading advisor (CTA), commodity pool operator (CPO), or registered investment adviser. We do not execute trades, route orders on your behalf as a broker, hold or custody your funds, or provide personalized financial, investment, tax, or legal advice. All trade execution, clearing, and custody occur through your own separately-licensed platforms and brokers.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and current.

4. Accounts & Licenses

Access to PTR-Tracker requires a valid license associated with your account. Your license is personal, non-exclusive, non-transferable, and revocable, granted solely for your own use in accordance with these Terms.

• You are responsible for keeping your license key and account credentials confidential and for all activity under your account.
• Licenses are subject to a device-activation limit (currently two devices per license). You may not share, resell, sublicense, lease, or distribute your license or account.
• We may validate licenses and device activations, and may suspend or revoke access for violations of these Terms, non-payment, or suspected abuse.

5. Subscriptions & Billing

The Services are offered on a subscription basis. Fees, billing frequency, and plan features are shown at the point of purchase. Payments are processed by our third-party processors, PayPal and Stripe; your use of their services is subject to their terms.

• Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price using your selected payment method, unless you cancel before the renewal date.
• Authorization. By subscribing, you authorize us and our processors to charge the applicable recurring fees, taxes, and any applicable charges.
• Price changes. We may change subscription prices; we will provide reasonable advance notice, and changes apply to the next billing cycle.
• Failed payments. If a payment fails, we may suspend or terminate access until the amount due is paid.

6. Cancellations & Refunds

You may cancel your subscription at any time through your account, portal, or payment processor. Cancellation stops future renewals; you will retain access until the end of your current paid period. Except where required by law or expressly stated at purchase, fees already paid are non-refundable, and canceling does not entitle you to a refund for the current period. 7. Acceptable Use

You agree not to:

• Copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the limited extent permitted by law;
• Circumvent, disable, or tamper with license validation, device limits, security, or usage controls;
• Resell, redistribute, sublicense, or commercially exploit the Services without our written permission;
• Use the Services to violate any law, regulation, exchange rule, market-data agreement, or the rules of any broker or prop firm;
• Introduce malware, interfere with or disrupt the Services, or gain unauthorized access to any system or data; or
• Use the Services to infringe the rights of others or to send unsolicited or unlawful communications.

8. Third-Party Platforms & Prop Firms

PTR-Tracker interfaces with third-party platforms, brokers, market-data providers, and proprietary trading firms (for example Rithmic, Tradovate, NinjaTrader, Kinetick, OMNE, and dxFeed). Your use of each is governed by that provider's own terms, rules, and agreements.

Each prop firm sets and enforces its own account rules, risk parameters, and payout terms. Use of PTR-Tracker does not modify, override, or guarantee compliance with any prop firm's rules, and you remain solely responsible for understanding and following them. Risk-management features such as auto-flatten and lockout are configurable, defensive tools that assist you in staying within your own limits; they are not guaranteed to prevent a rule violation, loss, or adverse outcome. You are solely responsible for monitoring your positions, orders, and balances at your broker of record at all times.

9. Intellectual Property

The Services, including all software, design, text, graphics, logos, and trademarks (including "SniperFlow.ai" and "PTR-Tracker"), are owned by SniperFlow.ai or its licensors and are protected by intellectual-property laws. We grant you only the limited license described in these Terms; no other rights are granted. You retain ownership of the content and data you create, and you grant us the limited rights necessary to operate the Services for you.

10. Market Data

Market data shown in the Services is provided by upstream providers and is subject to their agreements, fees, and restrictions. Data may be delayed, inaccurate, incomplete, or unavailable, and is provided for informational purposes only. You are responsible for any exchange or market-data agreements and fees required for your use, and you may not redistribute market data in violation of those agreements.

11. Disclaimers & Trading Risk

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of software bugs, connection failures, or data outages, or that any result or performance will be achieved.

12. Limitation of Liability

To the maximum extent permitted by law, SniperFlow.ai and its owners, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, trading losses, missed trades, or account rule violations, arising out of or relating to the Services, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to SniperFlow.ai for the Services in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless SniperFlow.ai and its owners, affiliates, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, your violation of any law or third-party rights (including any broker or prop-firm rules), or your trading activity.

14. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay, or use the Services in a way that could harm us, other users, or third parties. Upon termination, your license ends and you must stop using the Services; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in the State of Georgia, and you consent to their jurisdiction.

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Services will be resolved on an individual basis, and you and SniperFlow.ai waive any right to participate in a class or representative action. Nothing in these Terms limits either party's ability to seek injunctive relief for intellectual-property or unauthorized-use claims.
